These Terms and Conditions (“Terms”) govern your access to and use of the website and services provided by Conex Inc. (“Company”, “we”, “us”, or “our”).

By accessing our website or using our services, you agree to be bound by these Terms.

1. About Our Services

  • We provide customer support outsourcing services, including but not limited to:

  • Email support

  • Live chat support

  • Customer service ticket handling

  • Related support services for small and medium-sized businesses, including e-commerce businesses

Specific services, scope, service levels, and pricing are defined in a separate Master Services Agreement (MSA), Statement of Work (SOW), and/or Service Level Agreement (SLA) entered into with each client.

2. Eligibility & Business Use

  • Our services are intended for business clients only.

  • By using our website or services, you confirm that:

  • You are at least 18 years old

  • You have authority to bind the business you represent

 

3. Website Use

You agree not to:

  • Use the website for unlawful purposes

  • Attempt to gain unauthorized access to systems or data

  • Interfere with website operation or security

  • Copy or misuse website content without permission

  • We reserve the right to restrict or terminate access to the website at any time.
     

4. Client Engagement & Contracts

  • Use of our services is subject to:

  • A signed MSA

  • An applicable SOW and SLA

  • Compliance with our Acceptable Use Policy (AUP) and Security Guidelines

  • If there is a conflict between these Terms and a signed agreement, the signed agreement prevails.

5. Client Responsibilities

Clients are responsible for:

  • Providing accurate information and documentation

  • Ensuring they have legal rights to all data shared with us

  • Complying with applicable privacy and consumer laws

  • Using our services only for lawful customer support purposes

6. Confidentiality & Data Protection

We take confidentiality and data protection seriously. Client data is handled in accordance with our Privacy Policy and Data Processing Agreement (DPA)

We implement reasonable administrative, technical, and organizational safeguards. Clients remain the data controller unless otherwise agreed.

 

7. Intellectual Property

All content on this website, including text, branding, logos, and materials, is the property of the Company unless otherwise stated. Clients retain ownership of their data. All tools, processes, training materials, and methodologies used by the Company remain our intellectual property.

 

8. Fees & Payments

Fees, billing schedules, and payment terms are defined in the applicable SOW or invoice.

Failure to pay may result in:

  • Suspension of services

  • Termination of agreements

  • Late fees where permitted by law

9. Service Limitations & Disclaimer

Our services are provided on an “as-is” and “as-available” basis. We do not guarantee:

  • Specific business outcomes

  • Increased sales or customer satisfaction

  • Error-free or uninterrupted service

  • To the maximum extent permitted by law, we disclaim all implied warranties.​

10. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the fees paid by the client in the three (3) months preceding the claim, unless otherwise stated in the MSA.

 

11. Indemnification

You agree to indemnify and hold harmless the Company from claims arising out of:

  • Misuse of our services

  • Violation of laws or third-party rights

  • Breach of these Terms or any service agreement

12. Termination

We may suspend or terminate website access or services:

  • For breach of these Terms

  • For non-payment

  • To comply with legal obligations

  • Termination of services does not relieve payment obligations.

13. Governing Law

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada, without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted on our website. Continued use constitutes acceptance.
